Il corso ha ad oggetto lo studio della disciplina inerente all’esercizio dell’attività d’impresa, nonché delle forme di organizzazione dell’impresa stessa, con riguardo alle problematiche delle società che esercitano attività turistiche.
L’obiettivo è quello di fornire allo studente una conoscenza in merito sia ai soggetti che si occupano di attività turistiche sia all’attività di impresa turistica, conciliando le nozioni di base dello studio della disciplina pubblicistica con quello della disciplina privatistica.
Durante le lezioni saranno affrontati e commentati esempi e casi pratici attinenti al settore turistico.
Eng: The course has to object the study of the discipline inherent to the exercise of the business activities, organizzation of the Firm, in particoular analyzing the issues regarding the tourist societies.
The aim is to provide the student with knowledge about both subjects and tourist business activities,applying public and private law.
During the lessons will be addressed and commented on examples and practical cases related to the tourism.
Le lezioni frontali (in presenza o mediante la piattaforma di Microsoft Teams) agevolano la verifica periodica delle conoscenze degli studenti.

Elementi di base di diritto privato e pubblico (ove carenti si integreranno durante il corso).

Il programma si suddivide per comodità in macro-argomenti:
I parte: L’impresa turistica
Il diritto commerciale: nascita ed evoluzione. Il sistema attuale e le fonti di diritto dell’impresa con particolare riguardo alle fonti del diritto pubblico del turismo.
L’impresa e l’imprenditore. Fattispecie, sotto-fattispecie e statuti. La classificazione dell’impresa turistica tra diritto pubblico e privato. L’azienda (considerazioni di sistema).
II parte: I tipi societari e le società turistiche
La società come imprenditore collettivo (considerazioni di sistema e cenni). I vari tipi societari e la funzione prescrittiva del tipo. Esempi e problemi pratici che coinvolgono società turistiche.

First part: The tourist Firm:
Commercial law: birth and evolution. The current system and the sources of law of the enterprise with particular regard to the sources of the public law of tourism.
The enterprise and the entrepreneur. Specific cases, sub-cases and statutes. The classification of the tourist enterprise between public and private law. The structures and the Company (some reflections).
Second Part:
The Company (system considerations and hints). The various types and and the prescriptive function of the type. Examples and practical problems involving tourist companies.

Civil Code.
La prova di esame consiste in un colloquio orale sugli argomenti del corso. Per i soli frequentanti l’esame potrà sostenersi sui soli appunti presi a lezione e quindi sia sui profili teorici che sui profili e casi pratici analizzati durante il corso.
