Learning outcomes
Knowledge
Topic of the course is the financial markets regulation and it is split into four sections: investment's services; collective asset management; capital markets regulation; issuing companies. Educational objective of the course is to provide a basic knowledge of the fundamental regulatory principles of the financial markets, by paying a special attention to the EU regulation, to the italian law text n. 58 of 1998 (“T.u.f.”) and the Consob regulation.
Assessment criteria of knowledge
The student will be assessed on his/her demonstrated ability to discuss the main course contents using the appropriate terminology. During the oral exam the student must be able to demonstrate his/her knowledge of the course material and be able to discuss the reading matter thoughtfully and with propriety of expression.

Syllabus
A) Introduction: delimitation of the research area; historical evolution of the regulation. The audit authorities. The brokers and other financial intermediaries regulation: auditing; corporate officers; ownership; corporate governance. B) Investment's services and activities: general definitions, behavioural rules and internal organisation rules; single services characteristics. C) Collective asset management. D) Intermediaries prudential audit and crisis regulation. E) Non-bank financial intermedaries regulated in the “T.u.f.”. F) Regulated capital markets and official listing; central trade management; dematerialisation of financial instruments; take-over bids, companies disclosure (insider trading and market abuse regulation). G) Issuing companies regulations and financial markets law.
