Learning outcomes
Knowledge
Topics of the course are Company law andtThe varied forms of business's organisation, with particular attention to every kind of corporation; the societas europea and the extraordinary corporate transactions. Educational aims of the course is to provide the knowledge of the fundamentals regulatory principles concerning companies and their corporate organisations, including mutual entities, european companies and corporate transactions (conversion; mergers; divisions).
Assessment criteria of knowledge
The student will be assessed on his/her demonstrated ability to discuss the main course contents using the appropriate terminology. During the oral exam the student must be able to demonstrate his/her knowledge of the course material and be able to discuss the reading matter thoughtfully and with propriety of expression.

A) Business Law: Historical evolution of the business and company law; the legal sources; definition and categories of entrepreneurs; subjective imputation of the business activity; capacity to act and business activity; starting date and conclusion of the firm; disclosure; accounts; business agency; firm's assets; consortia of businessmen; consortium companies; EEIG; “ATI” (business syndacate); business networks; B) Company Law: companies in general: concept; kinds; private companies with unlimited liability (“società semplice; società in nome collettivo; società in accomandita semplice”);limited company:società in accomandita per azioni” (limited company with partners with unlimited liability); private limited company; cooperative companies; mutual insurance companies;conversion, mergers and divisions; european companies; basic knowledge of the fundamentals of bankruptcy law
