Knowledge
The student who successfully completes the course will be able to demonstrate a solid knowledge of the legislation regarding the public and listed companies.
Assessment criteria of knowledge
During the oral exam the student must be able to demonstrate his/her knowledge of the course material and be able to discuss the reading matter thoughtfully and with propriety of expression.

The examination will be oral. For the final evaluation it is also very relevant the level of participation of the students in class and seminar discussion.

Syllabus
The course is designed to quickly introduce the students to the corporate governance of public and especially listed companies, to be defined as the firms whose shares are listed (quoted) on a stock exchange for public trading. After introducing the general subject, the course will cover a broad range of fundamental topics. During the course, we will firstly investigate the history of the legislation regarding listed and public companies. Then, we will have particular regard to the subjects aging on the financial markets; to the audit activity; to the take-over regulation; to the legislation in force regarding listed and public companies. In particular, we will focus on the following matters: a) the ownerships transparency rules and the transparency duties for the subjects acquiring a relevant part of the capital; b) the agreements among sharholders concerning the company's functioning c) the financial structure d) the corporate governance c) the internal audit activity.
