Knowledge
The student who successfully completes the course will be able to demonstrate advanced knowledge of corporate governance issues, concepts and domain. He/she will be able to demonstrate a solid knowledge of the role boards and its members play in corporate governance and the issues boards face. He/she will be aware of codes of 'best practice', internal controls, financial market supervision and accountability.
Assessment criteria of knowledge
The student will be assessed on his/her demonstrated ability to discuss the main course contents using the appropriate terminology.
In the written exam (1 hour), the student must demonstrate his/her knowledge of the course material and to organise an effective and correctly written reply.
With the oral presentation, to be made to the teacher and the other students, the student must demonstrate the ability to approach a circumscribed case study, and organise an effective exposition of the results.

Attenders could be evaluated for 70% on the basis of the written exam and 30% on the basis of a final essay (made individually or in group) to be presented to the teacher and to other students.

Syllabus
The course cover the chronological evolution of corporate governance studies. Particular attention will be paid to the link between corporate governance and value creation, to the shareholders and stakeholders theories, and to the linkage among strategies, ownership and corporate governance.
The course also approaches the main issues related to ownership of big and listed companies, board of directors role, composition and remuneration and internal controls.
Lastly, some issues related to listing process, private equity and venture capital and codes of best practices are presented and discussed.
