Knowledge
The student who successfully completes the course will be able to demonstrate a solid knowledge of company law in each of its parts. He or she will have the ability to apply a logical and interpretative method in order to solve juridical problems related to company law, and to develop (by using the case-study method) the useful skills to understand the themes of company law.
Assessment criteria of knowledge
During the oral exam the student must be able to demonstrate his/her knowledge of the course contents and be able to discuss them using the appropriate terminology.

Syllabus
The course consists of two parts: the first one concerns the system of rules of business enterprises, and in particular their organization, assets, books and bankruptcy. The second one concerns: definition and types of companies; partnerships and their regulation; private limited companies; joint-stock companies; corporate assets, capital stock and financial statement; corporate groups; establishment of companies; changes of articles of incorporation and withdrawal; conversion, merger and division of companies; winding-up of companies; cooperatives.
